Scope of Services

  1. Service Provider agrees to provide mobile coffee and beverage catering services for the event listed above. Services may include setup, beverage preparation, service, staffing, and breakdown, as agreed upon prior to the event.

  2. Menu selections, add-ons, guest count, and service duration will be outlined in the corresponding invoice or proposal provided to the Client.

Guest Count & Service Capacity

  1. Café Mendoza prepares staffing, ingredients, cups, milk, syrups, and other service supplies based on the event details and estimated attendance provided by the Client. Clients are responsible for providing accurate attendance estimates and event information prior to the event date.

  2. If actual attendance exceeds the estimated attendance provided by the Client, Café Mendoza will make reasonable efforts to accommodate additional guests; however, beverage availability, menu offerings, and service supplies cannot be guaranteed beyond the estimated attendance. Café Mendoza shall not be responsible for shortages, depleted menu items, or service limitations resulting from attendance that exceeds the Client's estimate.

Fees, Deposit & Payment

  • Deposit: A non-refundable deposit equal to 50% of the total service cost is due upon acceptance of the Agreement.

  • Final Payment: The remaining balance is due 7 days prior to the Event date, unless otherwise agreed upon under a Net 30 or other written payment agreement.

  • Late Payments: Any balance not paid by the due date (or within the agreed payment terms) will incur a $50 late fee, plus 1% interest per week (equivalent to 4% per month) until paid in full. Events may be postponed or services withheld until the balance is paid.

  • Date Security: The Client's Event date is not secured until the Company has received the deposit.

  • Payment Methods: Payment may be made by credit card, ACH, or check. Checks should be made payable to Cafe Mendoza LLC and mailed to: 11660 Colmar St. Dallas, TX 75218.

Service Duration & Setup

  1. Service will be provided during the scheduled event times agreed upon by both parties.

  2. Client agrees to provide reasonable access to the venue for setup and breakdown. Setup typically begins 1-2 hours prior to service unless otherwise agreed upon.

  3. Additional service time requested during the event may be accommodated based on availability and may incur additional charges.

Guest Count & Event Changes

  1. Client acknowledges that accurate guest counts and event details are essential for successful service execution.

  2. Any significant changes to guest count, service duration, menu selections, venue location, timing, or event logistics after booking may result in additional charges.

  3. Service Provider reserves the right to adjust pricing accordingly and will communicate any changes to the Client prior to the event whenever possible.

Cancellation & Rescheduling

  1. If Client cancels the event, all deposits paid shall be forfeited.

  2. Cancellations made within 7 days of the event may result in charges up to the full remaining balance due, especially in cases involving staffing, inventory purchases, or custom items already prepared for the event.

  3. Requests to reschedule are subject to availability and are not guaranteed.

Venue Requirements

  1. Client is responsible for securing all necessary venue permissions, parking accommodations, permits, and access required for Service Provider to operate.

  2. If the event is outdoors, Client acknowledges that severe weather conditions may impact service capabilities and equipment safety.

  3. Outdoor service can only be accommodated when there is no chance of rain and the temperature stays between 40°F and 90°F, as adverse weather conditions can jeopardize espresso equipment.

  4. Client agrees to provide:

    • Adequate space for setup and service

    • Access to standard electrical outlets within reasonable distance unless otherwise agreed

    • Safe working conditions for staff and equipment

Electricity & Power Requirements

  1. The Client must provide a dedicated 120V/15-amp circuit per espresso machine for proper operation.

  2. The Caterer will supply extension cords and power strips as needed.

  3. If the power provided is inadequate or improperly supplied, the Caterer will not be liable for any damages or refunds, and espresso services may not be rendered safely.

Service Terms

  1. Service Provider agrees to conduct services professionally and in accordance with applicable local laws and health regulations.

  2. Unless otherwise stated, beverages served during the event are included within the agreed service pricing and no individual guest transactions will occur onsite.

  3. Service Provider reserves the right to refuse service in unsafe or inappropriate conditions.

Independent Contractor

Service Provider is acting solely as an independent contractor and not as an employee, partner, or agent of the Client.

Limitation of Liability

  1. Service Provider shall not be liable for indirect, incidental, or consequential damages arising out of this Agreement or the services provided.

  2. Service Provider's total liability under this Agreement shall not exceed the total amount paid by Client.

Indemnification

Client agrees to indemnify and hold harmless Service Provider from any claims, damages, liabilities, or expenses arising from the event, except in cases of gross negligence or willful misconduct by Service Provider.

Force Majeure

Neither party shall be liable for delays or failure to perform caused by circumstances beyond reasonable control, including but not limited to acts of God, severe weather, venue closures, government restrictions, power outages, labor disputes, or emergencies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.

Entire Agreement

  1. This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements, whether written or oral.

  2. Any amendments to this Agreement must be made in writing and agreed upon by both parties.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Acceptance

By submitting the deposit, the Client acknowledges and agrees to all terms and conditions in this Agreement. The Company’s acceptance of the deposit confirms the booking
